1. Introduction

Welcome to aichat.guide (“Service”, “Website”, “Platform”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Verida Group LLC (Identification Number: 406517318), a limited liability company registered under the laws of Georgia with its registered address at Tbilisi, Georgia, B. Khmelnitski II Dead end, 29 (“Company”, “we”, “us”, “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Merchant of Record

Paddle is the Merchant of Record for all Premium orders. This means that:

• Paddle handles the payment processing, tax collection (VAT/Sales Tax), and invoicing.
• When you purchase a subscription, you are technically purchasing it from Paddle, subject to their Terms of Service and Privacy Policy.
• We (Verida Group LLC) act as the service provider, delivering the software functionality and content.

3. Account Registration & Eligibility

To access Premium features, you may be required to register an account using your Google credentials (“Google Login”).

3.1. Age Requirements

• Minimum Age: You must be at least 13 years old to use this Service. No one under 13 is allowed to create an account or use the Service.
• Minors (13-17): If you are at least 13 but under the age of 18 (or the legal age of majority in your jurisdiction), you may only use the Service with the consent of your parent or legal guardian. By using the Service, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
• Parental Responsibility: If you are a parent or legal guardian permitting a minor to use the Service, you agree to be bound by these Terms and are fully responsible for the minor’s use of the Service, including all financial charges and legal liability that they may incur.

3.2. Account Security & Google Login

• Third-Party Authentication: We use Google Login for authentication. We do not store or manage passwords for your account. You are responsible for maintaining the security of your Google Account.
• Responsibility for Activity: You agree that you are solely responsible for any activity that occurs under your account on the Service.
• Unauthorized Access: If you suspect that your Google Account has been compromised or accessed without authorization, you must secure your Google Account immediately and notify us if you believe your account on our Service has been affected.

4. Subscriptions, Limits, and Refunds

4.1. Premium Subscription The Service offers a “Premium” monthly subscription plan.

• Usage Limits: The Premium plan grants you an allocation of 100 AI generation requests per day. Unused requests do not roll over to the next day.
• Billing: Subscription fees are billed automatically on a monthly basis by Paddle.

4.2. Refund Policy We offer a 14-Day Money-Back Guarantee.

5. Intellectual Property Rights

5.1. Our Intellectual Property

The Service and its original content (excluding User Content), including but not limited to software, widget code, interfaces, design, layout, text, graphics, logos, and functionality, are and will remain the exclusive property of Verida Group LLC.

The Service is protected by copyright, trademark, and other laws of Georgia and foreign countries. You agree not to reproduce, duplicate, copy, sell, resell, license, distribute, or exploit any portion of the Service without our express written permission.

5.2. Your Intellectual Property (User Content) You retain full ownership of all content that you submit to the Service and all content generated for you by the Service, including:

• Inputs: Any text, data, instructions, or materials you provide to the Service.
• Outputs: Any prompts, text, or other content generated by the Service based on your Inputs.

We do not claim ownership of your Inputs or Outputs.

However, by using the Service, you grant Verida Group LLC a limited, non-exclusive, non-transferable, royalty-free license to process, store, and transmit your Inputs solely for the purpose of operating the Service and generating Outputs for you.

5.3. Responsibility for Content & Rights

You represent and warrant that you own or have all necessary rights, licenses, and permissions to submit your Inputs to the Service and to request the generation of Outputs based on them.

You are solely responsible for ensuring that:

• Your Inputs
• The Outputs you generate
• And any use, publication, or distribution of those Outputs

do not violate any applicable laws or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity, or other intellectual property rights.

Verida Group LLC does not review, verify, endorse, or assume responsibility for User Content or AI-generated Outputs.

5.4. Platform as a Tool, Not a Publisher

The Service is a neutral technological platform that provides automated prompt-generation and AI-assistance tools. We do not act as a publisher, editor, or author of User Content or Outputs.

Any legal responsibility arising from the content you submit, generate, or use rests solely with you.

6. Acceptable Use Policy & Safety Protocols

6.1. Prohibited Activities You agree not to use the Service:

• Illegal Purpose: In any way that violates any applicable national or international law or regulation.
• Harmful Content: To generate prompts or content that is sexually explicit, hateful, violent, discriminatory, or promotes self-harm.
• Reverse Engineering: To attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising the Service (including the widget code).
• Botting/Scraping: To use any robot, spider, or other automatic device to access the Service for any purpose, including monitoring or copying materials.
• Abuse: To bypass the daily usage limits (e.g., creating multiple accounts) or interfere with the proper working of the Service.

6.2. Safety Protocols & Prohibited Bypass Our Service is configured to strictly refuse assistance with illegal, violent, or harmful activities. You agree not to attempt to bypass, disable, or deceive these safety protocols.

Any detected attempt to “jailbreak” the system, circumvent safety filters, or use adversarial prompts to force the generation of prohibited content is a material breach of these Terms and will result in the immediate termination of your account without refund.

6.3 High-Risk Deployment Restriction
You agree not to use or deploy prompts, configurations, instructions, or outputs generated by the Service as the operational basis of systems that directly affect financial, medical, safety-critical, legal, or human welfare outcomes without prior review by an independent qualified professional. This includes but is not limited to automated trading systems, medical diagnosis tools, legal filings, and any software or system that, if incorrect, could cause significant financial loss, physical harm, legal violation, or reputational damage.

6.4. Consequences of Violation Violation of any part of this section may result in immediate termination of your account without refund.

7. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

8. Artificial Intelligence Disclaimer

The Service uses advanced Artificial Intelligence to generate content.

• Accuracy: AI systems can occasionally produce incorrect, biased, or misleading information (“hallucinations”). You should verify any generated prompts or information before using them.
• “As Is”: The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We do not warrant that the results obtained from the use of the Service will be accurate or reliable.

8.1 Scope of AI Functionality: The Service is a prompt-generation and intent-structuring tool designed to assist users in communicating their intent to AI systems. It does not provide professional or operational advice in regulated or safety-critical domains, including but not limited to financial trading, investment, medical decisions, legal strategy, religious advocacy, policy formulation, or other activities where incorrect output could result in harm, loss, or legal liability. Any use of the Service in such contexts is for educational, experimental, or technical demonstration purposes only and should be independently reviewed.

8.2 User Responsibility for Outputs
You acknowledge that the Service generates outputs based on your inputs and internal processing. The Company does not validate, verify, certify, or approve the correctness, fitness, legality, or safety of any generated prompts or content. You are solely responsible for reviewing, evaluating, modifying, and verifying all outputs before applying them to any external use, system, project, or decision.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Verida Group LLC, nor its affiliates, agents, or suppliers, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service; and
• Unauthorized access, use, or alteration of your transmissions or content.

In no event shall our total liability to you for all claims exceed the amount you have paid us in the last three (3) months.

10. Privacy Policy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the data practices described therein.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Georgia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Georgia.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
